OmniBudgets — Terms of Service
Effective date: November 14, 2025
By creating an account or using OmniBudgets (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.
1. The Service
OmniBudgets is a software-as-a-service application that lets users track income and expenses, manage budgets, and share access with collaborators.
2. Accounts and Eligibility
You must be 16+ to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
3. Merchant of Record & Payments
We use PayPro Global as our payment provider and Merchant of Record. PayPro Global sells subscriptions in its own name and handles tax calculation and remittance (e.g., VAT/Sales Tax/GST), invoicing, and payment‑related support. The applicable PayPro Global entity appears on your receipt/invoice.
Plans & pricing. Prices and plan details are shown on our pricing page and may change; changes apply on your next renewal.
Billing cycle. Subscriptions renew based on the term you choose (e.g., monthly or annual) until canceled. You authorize recurring charges to your payment method for each renewal term unless you cancel beforehand.
4. Refunds
You may request a refund within 14 days of a purchase or subscription renewal, consistent with our Refund Policy. Refunds are administered via PayPro Global’s platform. Where required by law, additional rights may apply to consumers (e.g., EEA/UK cooling‑off rights). See our Refund Policy for details.
5. Cancellations, Upgrades & Downgrades
You can cancel at any time; access continues until the end of the current billing period. No proration applies to upgrades, downgrades, or partial periods; plan changes take effect on the next billing cycle unless stated otherwise in‑app.
6. Acceptable Use
- Do not violate laws or third‑party rights.
- Do not upload malicious code or attempt to bypass security.
- No spam or abuse of rate limits/APIs.
- Do not reverse engineer where prohibited.
- Do not use the Service for high‑risk activities where failure could lead to harm.
7. Usage Limits
We may apply reasonable limits (e.g., number of budgets, transactions, collaborators, and—if introduced—API calls) based on your plan and overall service health. We may temporarily restrict features or require an upgrade if limits are exceeded.
8. Availability & Changes
We may modify or discontinue features with reasonable notice where feasible. The Service is provided “as is” and “as available.”
9. Service Availability (SLA)
We target 99.9% monthly uptime. Planned maintenance and events outside our reasonable control (including failures of third‑party providers such as hosting, CDN, or payments/Merchant of Record) are excluded from uptime calculations. We will post status updates and incident notes when feasible. For critical incidents (P1), we aim to acknowledge within 4 hours and provide ongoing updates until resolution. This SLA does not include service credits.
10. Disclaimers & Limitation of Liability
To the maximum extent permitted by law, we disclaim implied warranties (merchantability, fitness, non‑infringement, uninterrupted availability). We are not liable for indirect, incidental, special, or consequential damages. Our aggregate liability for all claims is limited to the fees you paid for the 3 months preceding the event giving rise to liability.
11. Indemnity
You will indemnify and hold us harmless from claims arising out of your unlawful use of the Service or breach of these Terms.
12. Data Protection
Processing of personal data is described in our Privacy Policy. PayPro Global acts as an independent merchant/payment controller for billing data it collects.
13. Suspension & Termination
We may suspend or terminate accounts for material breach, unlawful use, or risk to the Service. You may terminate at any time via account settings.
14. Governing Law & Venue
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. Mandatory consumer rights under your local law remain unaffected.
15. Online Dispute Resolution (EU)
The European Commission’s ODR platform is available for consumers.
16. Governing Language
These Terms are provided in English. Any translations are for convenience only; the English version prevails.
17. Export Controls & Sanctions
You represent that you are not located in a country or on a list subject to comprehensive sanctions and will not use the Service contrary to export laws.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be notified in‑app or by email at least 30 days in advance where feasible. Continued use after the effective date constitutes acceptance.
19. Survival
Sections relating to user content & license, warranties/disclaimers, limitation of liability, indemnity, governing law & venue, export controls, and survival shall survive termination.
20. Notice and Takedown
If you believe content on the Service infringes rights or law, submit a notice to legal@omnibudgets.com with: (a) your contact details; (b) identification of the content (URL/account id); (c) basis of the claim and supporting materials; and (d) a good‑faith statement and accuracy attestation. We may remove or restrict access to disputed content and notify the account holder. If you are the account holder, you may submit a counter‑notice with reasons and supporting materials. Repeated or egregious violations may result in account termination.
21. APIs
If we offer public APIs in the future, usage will be subject to separate API Terms, including rate limits and security requirements.
